Brief of Company Background

The Company was established under the name PT Putra Insan Permata in accordance with the Deed of Establishment Number: 8 dated July 23, 2004, drawn up before Hasbullah Abdul Rasyid, SH, M.Kn., Notary in Jakarta, which deed has been approved by the Minister of Law and Human Rights Republic of Indonesia (formerly the Minister of Justice and Human Rights of the Republic of Indonesia) based on Decree Number: C-22196 HT.01.01.TH.2004 dated September 3, 2004.In 2013, the Company together with PT Industri Mitra Media (IMM), which is a subsidiary, acquired 100% ownership stake from PT Televisi Anak Spacetoon (Spacetoon). On the acquisition of such ownership shares, and based on Deed No. 04 dated July 2, 2014, drawn up before Harra Mieltuani Lubis, S.H., Notary in Tangerang Municipality Level II, which deed has obtained approval from the Minister of Law and Human Rights based on decision No. AHU-04837.40.20.2014 dated July 2, 2014, PT Televisi Anak Spacetoon changed its name to PT Net Mediatama Televisi, and broadcast ""Spacetoon"" on terrestrial networks changed its name to ""NET.""The Company's business activities are based on Article 3 of the Company's Articles of Association which is stated in the Deed of Decision of the Company's Shareholders No. 82, dated December 22, 2020, made before Yulia, S.H., Notary in South Jakarta City, which has obtained approval from the Menkumham based on decision No. AHU-0085464.AH.01.02.Year 2020, dated December 22, 2020, and has been registered in the Company Register in accordance with the provisions of the Company Law with No. AHU-0216719.AH.01.11.Year 2020, dated December 22, 2020, and has been notified to the Menkumham and recorded in the Legal Entity Administration System database of the Ministry of Law and Human Rights of the Republic of Indonesia based on Acceptance Letter for Changes in Company Data No. AHU-AH.01.03-0422749 dated December 22, 2020, are as follows:Main Business Activities:Head Office Activities and Management Consulting;Financial Services Activities, Not Insurance and Pension Funds; andOther Professional, Scientific and Technical Activities.Supporting Business Activities:Carry out other business activities, which are related to and/or support the Company's main business activities in accordance with the applicable laws and regulationsThe business activity currently being carried out by the Company is artist management with a focus on finding and creating new and potential artists who can accommodate client needs from programs on television, digital, off air and others. The Company is also a forum that provides strategic and tactical plans for the talent and career development of all artists owned by the Company.Meanwhile, the Company through its Subsidiaries has business activities in television broadcasting and production houses as well as developing digital platforms since 2013 through applications, YouTube channels, and other social media to reach a wider market share to complement terrestrial NET coverage. The Company launched the Net Citizen Journalist application in 2013. In 2016, the Company launched (soft launching) the ZULU (OTT Platform) application, and NET Connect (a liaison application between TV and mobile phones). To support this, the Company adds a facility in the form of a digital command center that functions to view performance and data from applications in real time.The Company does not have significant events that may affect the development of the Company's business and the Company does not have the nature of the consequences of bankruptcy, or suspension of debt payment obligations or similar processes involving the Company and the Company's business groups that have a significant impact on the Company.In its journey, the Company changed its name from PT Putra Insan Permata to PT Net Visi Media, as stated in the Deed No. 121 dated March 23, 2017, made before Notary Yulia, Notary in Jakarta, and has been approved by the Minister of Law and Human Rights of the Republic of Indonesia No. AHU-0007113.AH.01.02.YEAR 2017 dated March 23, 2017.Changes regarding the change in the name and articles of association of the Company to become a public company are stated in the Deed of Decision of the Shareholders of the Company No. 82, dated December 22, 2020, made before Yulia, S.H., Notary in South Jakarta City, which has obtained approval from the Menkumham based on decision No. AHU-0085464.AH.01.02.Year 2020, dated December 22, 2020, and has been registered in the Company Register in accordance with the provisions of the Company Law with No. AHU-0216719.AH.01.11.Year 2020, dated December 22, 2020, and has been notified to the Menkumham and recorded in the Legal Entity Administration System database of the Ministry of Law and Human Rights of the Republic of Indonesia based on Acceptance Letter for Changes in Company Data No. AHU-AH.01.03-0422749 December 22, 2020.
