Jakarta - PT Pyridam Farma Tbk (PYFA) plans to take over 41.933 million series B and 7.4 million series A shares, equivalent to 100% of the issued and paid-up capital in PT Ethica Industri Farma (EIF). Fresenius Kabi AG and Fresenius Kabi Deutschland GmbH currently own the shares.

In connection with the plan, PYFA, PT Pyridam Sehat Indonesia, and the sellers have signed a sale and purchase agreement (SPA) for all shares issued by PT EIF on May 30, 2022.

Based on the SPA, the transaction value was Rp163.456 billion. Therefore, the transaction value is around 97.82% of the company's equity, which was recorded at Rp167.1 billion on May 6, 2022.

"The funds that will be used to acquire the shares will come from the public offering of Pyridam I 2022 bonds," said PYFA's information disclosure on Wednesday (7/27).
